REPRESENTATIVE REAL ESTATE TRANSACTIONS

  1. Represented the Warmington Group of Companies in connection with the acquisition of apartment projects in the Dallas/Ft. Worth Area containing approximately 2,500 units.

  2. Represented Sumitomo Realty & Development CA., Inc. in acquiring a one-half interest in two twelve story office buildings containing 500,000 square feet in Arlington, Virginia valued at $130,000,000 and in related joint venture with pension adviser who acquired the other one-half interest.

  3. Represented a major Southern California home builder and their principals in restructuring $300,000,000 of secured debt with four major commercial banks and obtaining relief from $200,000,000 in personal guarantees.

  4. Negotiation and preparation on behalf of numerous residential developer clients of limited partnership, limited liability company, joint venture, participating loan, and participating development management agreements for one or more investor partners, or landowners, to provide the equity to our developer client for a particular for-sale housing project.

  5. Negotiation and preparation on behalf of investor clients of participating loan agreements with developers constructing for-sale residential, multi-family residential, commercial and retail real estate projects.

  6. Negotiation on behalf of residential developer clients of participating loan agreements, participating development management agreements, limited liability company agreements, and limited partnership agreements, with various CALPERS program sponsors.

  7. Preparation of private offering documents including securities compliance filings for limited partnership and limited liability company offerings associated with the purchase, construction, rehabilitation and ownership of retail centers, commercial centers, and multifamily residential developments located both within and outside California.

  8. Represented the sellers of a large mobile home park to a syndicate headed by Merrill Lynch in a transaction valued at approximately $40,000,000.

  9. Represented a major golf course developer in the development and sale of golf courses and golf course communities in both Southern and Northern California.

  10. Represented general partners in $7,000,000 restructure of the partnership owning the Anaheim Hilton.

  11. Prepared documentation for creation of $100,000,000 mortgage pool.

  12. Represented large technology company, as tenant, in connection with a 74,000 square foot lease with The Irvine Company for its software development facility adjacent to the University of California at Irvine, and for a 43,000 square foot companion facility leased from another landlord in the Silicon Valley.

  13. Represented Nature's Best, as tenant, in connection with the renewal of a 184,000 square foot warehouse and distribution facility lease and a new 53,000 square foot build-to-suit lease for a companion adjacent facility.

  14. Represented major health plan in connection with a 119,000 square foot office lease transaction for its corporate headquarters in Long Beach.

  15. Represented Xerox Corporation, as owner, in connection with its renewal and restructuring of several existing office leases and new office lease transactions totaling approximately 87,000 square feet of space.

  16. Represented Sumitomo Realty & Development CA., Inc., as landlord, in connection with major restaurant leases with El Torito, Benihana, Stuart Andersen's Black Angus Grill and Tony Roma's.

  17. Represented numerous home builders in the structuring and creation of master planned communities including land use matters, and processing through state and federal agencies including the Department of Real Estate, Veterans Administration, and Department of Housing and Urban Development.

  18. Representation of property owners in long term ground lease transaction with major Southern California amusement park owner and operator which involved public financing of infrastructure and park improvements.

  19. Representation of large land owners in the South Coast Plaza area of Orange County in connection with the long term planning and development of a 45 acre multi-family and mixed use commercial site.

  20. Represented a large regional Southern California homebuilder in the acquisition of lots in two master planned communities in the City of Irvine valued in excess of $50,000,000.

  21. Represented a national apartment developer in the acquisition of an apartment site overlooking a marina with a land value in excess of $80,000,000 and a $130,000,000 construction loan from a pension fund related thereto.

  22. Representation of a developer in public-private venture with the United States Navy involving 5,000 housing units for the construction of new Navy housing and the rehabilitation and management of existing Navy housing.

  23. Represented a large national apartment developer in connection with the acquisition and construction of 270 luxury apartment units in downtown Los Angeles.

  24. Representation of a national apartment REIT in connection with the sale of recently completed luxury apartment complex in La Jolla.

  25. Representation of large landowners in the City of Oxnard in connection with the long term planning, entitlement and development of 430 acres of industrial and commercial properties.

  26. Represented a large regional homebuilder in a $24 million acquisition of lots in a master-planned development in the Bay Area. The acquisition of these lots, which are located on a former oil and asphalt refinery site, included the resolution of significant environmental issues.

  27. Represented Orange County land developer in the acquisition of a 13 acre parcel of property in coastal Orange County from a former defense contractor for $23 million including resolution of significant environmental issues.

  28. Represented automotive dealer in connection with the acquisition of a nine acre site in the Irvine Spectrum and the development on this site of the Irvine BMW and Irvine Mini dealerships.

  29. Represented Greystone Homes in connection with its acquisition of the 108 acre Torrey Highlands master planned community in the City of San Diego and the development and disposition of approximately 196 homes and associated retail sites within this community.
